These Terms of Service ("Terms") form a legally binding agreement between Loan GenieX.ai, Inc., a Florida corporation ("Company", "we", "us", or "our"), and you ("Customer" or "you") who executes or otherwise accepts an order form or uses the Loan GenieX.ai platform ("Platform") or website ("Website"). By accessing or using our Platform, you agree to be bound by these Terms and our applicable policies.

2. License and Access

We may update or discontinue any aspect of the Platform at our discretion. Material changes will be communicated via email, in-platform notifications, or Website postings.

4. Usage & Credits

Usage may be limited based on your selected plan (e.g., user count, AI prompts, document uploads). Overages may result in additional charges or require purchasing credit blocks.

5. Trials & Beta Features

Loan GenieX.ai may offer free trials or beta services. These are provided "as-is," without warranties, and are subject to change or discontinuation at any time.

6. Accounts & Responsibilities

You are responsible for:

• Ensuring Users are 13+ or older
• Providing accurate account info
• Maintaining account security
• Managing device compatibility and internet access

7. Customer Data & AI Output

You retain ownership of all Customer Data uploaded to the Platform. You grant us a license to process this data solely for service provision. Generated Output belongs to you, but may not be unique due to AI model characteristics.

8. Intellectual Property

All intellectual property related to the Platform (excluding Customer Data and Output) belongs to Loan GenieX.ai or its licensors. Unauthorized use is strictly prohibited.

9. Privacy

Use of the Platform is governed by our Privacy Policy. If applicable law requires, a separate Data Processing Agreement (DPA) will be executed.

10. Restrictions

You agree not to:

• Reverse engineer or modify the Platform
• Bypass security features
• Use for illegal or unauthorized purposes
• Share accounts across multiple individuals
• Use in high-risk environments (e.g., healthcare, aviation)

11. Fees & Payments

All subscriptions and services are billed in U.S. dollars. Fees are due upfront unless otherwise agreed. Taxes, late fees, and chargeback responsibilities apply.

12. Confidentiality

You and Loan GenieX.ai agree to maintain the confidentiality of proprietary business or technical information disclosed during the course of service.

13. Termination

Subscriptions auto-renew unless canceled 30 days prior to the term end. We may suspend access due to misuse, nonpayment, or security risks. Upon termination, you must delete all Platform materials and request data retrieval within 15 days.

14. Warranties & Disclaimers

The Platform is provided "as-is" and without warranties. Loan GenieX.ai disclaims all implied warranties including merchantability, fitness for purpose, and non-infringement.

15. Limitation of Liability

Except in cases of willful misconduct, fraud, or IP violations, Loan GenieX.ai's liability is limited to the subscription fees paid in the last 12 months. We are not liable for indirect or consequential damages.

16. Indemnification

You agree to indemnify Loan GenieX.ai against third-party claims related to your data, use of the Platform, or generated output.

17. Miscellaneous

• Governing Law: These Terms are governed by the laws of the State of Florida.
• Jurisdiction: Legal proceedings will take place in Hillsborough County, Florida.
• No Class Actions: You waive the right to participate in class actions.
• Force Majeure: We are not liable for delays due to events beyond our control.
• Entire Agreement: These Terms represent the full agreement between parties.
• Notices: Notices will be delivered via email or certified mail.
